Terms and Conditions – Track Minder

These Terms and Conditions (“Terms”) govern your access to and use of the Track Minder mobile application (“App”), provided by eSales Technologies (“eSales”, “we”, “us”, or “our”).

By downloading, accessing, registering for, or using the Track Minder App, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the App.

1. About Track Minder

Track Minder is a vehicle tracking and fleet management application that provides features including, but not limited to:

Real-time vehicle tracking
GPS-based location monitoring
Vehicle and fleet information
Route and stop information
Vehicle speed and time information
Route monitoring and management
Fleet management functionality
Notifications and other related services

The features available to you may depend on your organization, account type, subscription, vehicle configuration, and services enabled by your organization.

2. Eligibility and Account

To use Track Minder, you must have a valid account or authorized access provided by your organization or by an authorized administrator.

You agree that:

The information you provide must be accurate and up to date.
You are responsible for maintaining the confidentiality of your login credentials.
You must not share your account credentials with unauthorized persons.
You are responsible for activities performed through your account.
You must immediately notify us or your organization if you believe your account has been accessed without authorization.

Track Minder is not intended for use by children under 18 years of age.

3. Authorized Use

You agree to use the App only for lawful purposes and in accordance with these Terms.

You must not:

Use the App for any unlawful or fraudulent purpose.
Attempt to gain unauthorized access to the App or its systems.
Attempt to access another user’s account without authorization.
Interfere with or disrupt the operation of the App.
Reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code of the App, except where permitted by applicable law.
Modify, copy, distribute, sell, or commercially exploit the App without our written permission.
Use the App to monitor vehicles or individuals without appropriate authorization or legal permission.
Upload or transmit malicious software, viruses, or other harmful code.

4. GPS and Location Information

Track Minder relies on GPS and other location technologies to provide vehicle tracking and route-related services.

You acknowledge that:

GPS information may not always be completely accurate.
Location information may be affected by network connectivity, GPS signal availability, device configuration, weather, buildings, tunnels, or other environmental conditions.
Real-time tracking may be temporarily unavailable because of network, hardware, software, or other technical issues.
We do not guarantee that location information will always be available, continuous, or error-free.

The use of vehicle and location tracking must be carried out in accordance with applicable laws and with appropriate authorization.

5. Vehicle and Fleet Information

The App may display or process information relating to vehicles, including vehicle identification information, registration or license plate information, routes, stops, speed, and time information.

You are responsible for ensuring that you have the necessary authorization to provide, access, or monitor such information.

You agree not to use information obtained through the App in a manner that violates applicable laws or the rights of other individuals.

6. User Responsibilities

You are responsible for ensuring that:

Your device is compatible with the App.
Your device has an appropriate internet connection when required.
Required permissions, including location permissions where applicable, are properly enabled.
Your account information remains accurate.
You use the App in accordance with applicable laws and regulations.

Some features may not work correctly if required permissions or connectivity are unavailable.

7. Privacy

Your use of Track Minder is also subject to our Privacy Policy, which explains how we collect, use, store, and protect personal information and location data.

8. Data and Security

We take reasonable measures to protect information transmitted through the App. However, no electronic transmission or storage system can be guaranteed to be completely secure.

You acknowledge that:

Internet and mobile networks may experience interruptions.
Third-party infrastructure may occasionally become unavailable.
No security system can guarantee absolute protection against unauthorized access.
We cannot guarantee uninterrupted or completely secure operation of the App.

9. Third-Party Services

Track Minder may rely on third-party services, infrastructure, APIs, hosting providers, mapping services, analytics services, notification services, or other technologies to provide certain functionality.

The availability and functionality of such services may be subject to the terms, policies, and availability of those third parties.

We are not responsible for interruptions or failures caused by third-party services outside our reasonable control.

10. Availability of the App

We aim to keep Track Minder available and functioning properly. However, we do not guarantee that the App will:

Always be available;
Operate without interruption;
Be completely free of errors or defects;
Be compatible with every device or operating system;
Always provide real-time or completely accurate location information.

We may temporarily suspend access to the App for maintenance, updates, security reasons, technical issues, or other operational requirements.

11. Updates and Changes

We may update, modify, add, or remove features of Track Minder from time to time.

Updates may be required to maintain compatibility, security, performance, or functionality.

You agree that continued use of the App following an update constitutes acceptance of the updated functionality and these Terms.

12. Intellectual Property

All rights, title, and interest in and to the Track Minder App, including its software, design, graphics, trademarks, logos, content, and related materials, belong to eSales Technologies or its licensors.

Except as expressly permitted by these Terms or applicable law, you may not:

Copy the App;
Modify or create derivative works;
Distribute or sell the App;
Reproduce its content;
Use our trademarks or branding without permission.

Your use of the App does not grant you ownership of any intellectual property belonging to eSales Technologies.

13. User-Provided Information

You retain responsibility for information that you provide through the App.

You represent that you have the necessary rights and authorization to provide such information and that providing it does not violate any applicable law or the rights of another person.

You must not submit information that is unlawful, fraudulent, misleading, malicious, or unauthorized.

14. Account Suspension or Termination

We or your organization may suspend, restrict, or terminate your access to Track Minder if:

You violate these Terms;
Your organization revokes your authorization;
Your account is used for unauthorized or unlawful purposes;
Your account presents a security risk;
Required services or subscriptions are discontinued;
We are required to do so by law; or
Other legitimate operational or security reasons require such action.

Upon termination, your right to use the App may immediately cease.

Certain information may continue to be retained where required by law, contractual obligations, security requirements, dispute resolution, or legitimate business purposes.

15. Disclaimer

Track Minder is provided on an “as available” and “as is” basis to the extent permitted by applicable law.

We do not guarantee that the App or its information will always be:

Accurate;
Complete;
Current;
Uninterrupted;
Error-free; or
Available at all times.

In particular, vehicle location, route, speed, and timing information may be affected by GPS limitations, network connectivity, hardware issues, or other technical circumstances.

16. Limitation of Liability

To the maximum extent permitted by applicable law, eSales Technologies and its officers, employees, affiliates, partners, and service providers shall not be liable for indirect, incidental, special, consequential, or similar damages arising from or related to your use of, or inability to use, the App.

This includes, where legally permitted, losses resulting from:

Loss of data;
Service interruptions;
Inaccurate or delayed location information;
Network or GPS failures;
Unauthorized access;
Device failures; or
Reliance on information provided through the App.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless eSales Technologies and its affiliates, employees, officers, and service providers from claims, damages, liabilities, losses, and expenses arising from:

Your misuse of the App;
Your violation of these Terms;
Your violation of applicable laws; or
Your unauthorized use of vehicle, location, or personal information.

18. Changes to These Terms

We may update these Terms from time to time.

When changes are made, we may update the Effective Date and publish the revised Terms through the App or on our website.

You are encouraged to periodically review these Terms. Your continued use of Track Minder after changes become effective means that you accept the revised Terms.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with applicable laws.

Any disputes relating to the App or these Terms shall be subject to the jurisdiction of the courts having appropriate jurisdiction over the matter.

21. Acceptance of Terms

You have the necessary authorization to use the App and access the vehicle or location information available through your account.

If you do not agree to these Terms, please discontinue use of the Track Minder App.
